trans flash disk for cell phone unformatted and wont reformatt?

I dont know what I either put on the disk or what but my 64 mb trans flash sandisk says it's unformatted and when I try to unformat it to erase it says it's unable to, any reason why it might have a) unformatted and b) be unable to reformat?
does this mean I need to buy another one?
